An LLC operating agreement is a legally binding agreement undertaken by the members of an LLC. The document governs how decisions are made, capital contributions, and the company’s ownership. It is the only document that records each member’s ownership interest.
An operating agreement is typically created when an LLC is formed. It is not filed with any government office (a copy is typically kept by each member). All members, no matter their ownership interest, are required to sign the agreement.
